WHEREAS, Party A, as a state IP address allocation organization that initiated IP Address Allocation Alliance, is responsible for allocation of IP addresses (including IPv4 and IPv6 addresses; having the same meaning hereinafter) and AS Numbers to relevant organizations in Mainland China; and
WHEREAS, Party B is an organization that has great demand for IP addresses;
NOW THEREFORE, the parties hereto agree as follows:
I. Rights and Obligations of Party A
1. Party A shall formulate and amend the policies and administrative measures for IP address and AS number allocation of IP Address Allocation Alliance of CNNIC including relevant charging standards in accordance with the allocation status of IP addresses and AS number and relevant national polices and regulations.
2. Party A shall fulfill its obligation as an initiator and allocate IP addresses and AS Numbers fairly and reasonably to members of IP Address Allocation Alliance of CNNIC.
3. Party A shall review Party B’s application for alliance membership and for IP addresses and AS Number and allocate them in accordance with Administrative Measures of IP Address Allocation Alliance of CNNIC.
II. Rights and Obligations of Party B
1. Party B shall provide the materials of application for alliance membership and IP addresses and AS Numbers as requested by Party A and accept the review by Party A.
2. Party B shall comply with the IP address and AS Number allocation policies as well as Administrative Measures of IP Address Allocation Alliance of CNNIC and Instructions on Fees of IP Address Allocation Alliance of CNNIC formulated by Party A and pay for the account opening fee for alliance member, the annual fee for address and the annual fee for AS Number, etc in a timely manner.
3. Party B shall comply with the relevant laws and regulations when using the IP addresses and AS Number allocated by Party A.
4. Party B shall submit a description of its use of IP addresses and AS Number to Party A and register in WHOIS database in a timely manner.
III. Charging Rules
Refer to Instructions on Fees of IP Address Allocation Alliance of CNNIC published on the website of CNNIC.
IV. Extension of Agreement Term
1. Where Party B pays the redemption fee and/or the annual fee for the next year pursuant to Instructions on Fees of IP Address Allocation Alliance of CNNIC within three months after the expiration of this agreement, this agreement shall extend automatically by a year from the expiration date.
2. Party may extend the agreement term by paying relevant fees in accordance with the preceding paragraph when each year ends.
3. Where Party B fails to pay the relevant fees in accordance with Instructions on Fees of IP Address Allocation Alliance of CNNIC within three months after the expiration of this agreement, Party A will cancel Party B’s membership of alliance and terminate this agreement.
V. Termination of Agreement
Where Party B is in breach of IP address and AS Number allocation policies, Administrative Measures of IP Address Allocation Alliance of CNNIC, or Instructions on Fees of IP Address Allocation Alliance of CNNIC formulated by Party A, Party A is entitled to cancel Party B’s membership of alliance and terminate this agreement and claim indemnity for the losses incurred thereof.
VI. Dispute Resolution
All disputes arising from this agreement shall be settled through friendly consultation of both parties. Any unsolved dispute shall be referred to China International Economic and Trade Arbitration Commission for arbitration.
VII. Supplementary Provisions
1. Administrative Measures of IP Address Allocation Alliance of CNNIC and Instructions on Fees of IP Address Allocation Alliance of CNNIC are the annexes of this agreement and shall have equal legal force as this agreement. Party A has the right to amend same according to variations to policies.
2. Matters not covered by this agreement shall be settled through consultation of both parties.
3. This agreement shall be executed in quadruplicate, with each party retaining two copies and all having equal force.
4. This agreement becomes effective upon the signing and stamping by both parties hereto and expires on
